Terms of Service

1. Who these terms are between

These Terms of Service ("Terms") are a binding agreement between Trade Management LLC ("we," "us"), a Massachusetts limited liability company, and the entity or individual ("you," "Customer") that signs up for an account at app.yourdomain.com.

By creating an account, paying a subscription, or using the service, you agree to these Terms.

2. The service

Trade Management is a software-as-a-service platform for managing field-service trades work — scheduling jobs, dispatching technicians, capturing on-site signatures and photos, tracking inventory and parts, sending customer SMS and email, invoicing via Stripe, and reporting on operations.

We reserve the right to add, modify, or remove features. Material removals will be announced to account owners at least 30 days in advance.

3. Your account

You're responsible for:

  • The accuracy of the information you provide.
  • Keeping your password safe; not sharing it.
  • The actions of anyone you invite into your tenant.
  • Complying with all laws governing your operation of the service, including marketing and privacy laws when communicating with your own customers.

You may not:

  • Use the service to harass, defraud, or harm anyone.
  • Send unsolicited bulk SMS or email through the service.
  • Reverse engineer, scrape, or circumvent rate limits or security.
  • Resell, sublicense, or rent access without our written consent.

We may suspend or terminate accounts that violate these Terms.

4. Subscriptions and billing

  • Pricing: published at app.yourdomain.com/pricing; may change with 30 days' notice.
  • Billing: through Stripe. You authorize recurring charges.
  • Failed payments: we'll notify you and retry. Unresolved after 14 days: we may suspend or terminate.
  • Refunds: non-refundable except where required by law. We may issue partial refunds at our discretion.
  • Cancellation: via Settings → Billing. Your tenant stays active through the end of the current billing period.

5. Customer data

Data you put into the service is your data. We process it on your behalf as a data processor. See our Privacy Policy for details.

You grant us a limited license to host, transmit, and display your data solely to deliver the service.

You represent that:

  • You have rights and consents to upload customer data and to send SMS or email to your customers through the service.
  • You provide your customers with a privacy notice that meets applicable law.

6. Service availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance is announced at least 24 hours in advance when reasonably possible. Outage updates at status.yourdomain.com.

We are not liable for downtime caused by third-party providers, force majeure, or your own internet connection.

7. Privacy and security

Our security program follows Massachusetts 201 CMR 17.00 (WISP). See sub-processors. Report suspected exposure to security@yourdomain.com.

8. Intellectual property

The service is owned by us and protected by US copyright and trademark law. We grant you a non-exclusive, non-transferable license to use the service while your subscription is active.

9. Limitation of liability

To the maximum extent permitted by law:

  • Our total liability for any claim is capped at the amounts you paid us in the 12 months immediately preceding the claim.
  • We are not liable for indirect, incidental, consequential, or punitive damages (including lost profits or lost data) even if advised of the possibility.

Some jurisdictions don't allow these limits; in that case, the limits apply to the extent allowed.

10. Indemnification

You will defend and indemnify us against claims arising from:

  • Your violation of these Terms.
  • Your use of the service in violation of law.
  • Your customers' claims about your handling of their data, where our involvement is only as a processor.

11. Termination

Either of us can terminate this agreement for any reason. On termination:

  • Your access ends at the close of the current billing period.
  • You have 30 days from termination to export your data; after that we delete it on the Privacy Policy schedule.

12. Governing law

These Terms are governed by Massachusetts law, without regard to conflict-of-law rules. Disputes not resolved by negotiation will be brought in state or federal courts in Suffolk County, Massachusetts.

13. Changes to these Terms

Material changes will be posted here and account owners notified at least 14 days before they take effect.
